Success for Manchester United as Glazers raise £504m from bond issue

• No shortage of investors for MU finance bond

Manchester United today successfully completed their controversial refinancing as expected, raising £504m that will be partly used to repay the onerous hedge fund loans taken out by the Glazer family to buy the club.

It is understood that the bond issue, which has provoked a furious backlash from some fans as it laid bare a business model that has saddled the club and their owners with debts of £716.6m, was twice over-subscribed.

The success of the MU Finance bond issue, combined with the fact that the interest (yield) that must be paid on it was within the hoped for range of the five banks that managed it, suggests that the club's argument that they could continue to grow revenues, invest in the squad and meet debt repayments was accepted by investors.

The Manchester United chief executive, David Gill, has over the past fortnight led a global roadshow across Asia, Europe and the US to sell the idea to investors, arguing that the club's iconic brand and global commercial potential made them a safe bet despite the large debt they are carrying.

While some traditional funds were unable to touch the bond because it was unrated, and some fund managers argued the club's debt made it too risky at the price, the issue was still oversubscribed by a factor of two.

The money has been raised in two tranches – £250m at 8.75% and $425m at 8.375%. It will be used to pay off the £509.5m that United owe to four banks at an interest rate of just over 5%.

The seven-year scheme will give the Glazers further breathing space to pay back the money they loaned to buy Manchester United and, crucially, allow them to use money from the club's cash flow to service their high interest £202m "payment in kind" debt that has been secured on their shareholding in it. The original loans had already reached £202m and were rolling up at 14.25% a year, a rate due to increase to 16.25% this summer.

But, although the Glazers will now be able to reduce their own onerous hedge fund loans, it leaves the club carrying a debt that must be repaid at a higher interest rate over a longer term.

The small print of the 322-page bond prospectus circulated to shareholders last week provided for the Glazers to channel up to £127m, including a one-off payment of £70m out of money raised from matchday income, TV contracts, sponsorship deals and transfer fees, to their parent company in the first year.

Supporters were also alarmed at provisions that will allow the Glazers' parent company to take control of the Carrington training ground and sell it on a lease-back basis as well as the fact that much of the revenue raised by the club was being used to service debt. Accounts for the Glazers' parent company show that, even allowing for a profit of £80.7m on player transfers, the parent company made a profit of only £6.4m due to the need to service debts.

The details of the bond issue have angered fans' groups who say it proves the extent to which the Glazers have taken money out of a profitable club simply to pay for their purchase. Six family members have taken £10m in loans at preferential rates and the bond issue makes provision for £9m a year in fees and management costs.

Some fund managers had said a double-digit return would have been more in keeping with the risk profile but it is believed the club's strong brand, a buoyant market for new issues and the fact that some of the hedge funds involved had already invested in the club's debt helped the Glazers and Manchester United executives get the scheme away.

Rio Ferdinand will play for Manchester United tomorrow against Hull City in his first game since October.

In addition to missing three months' worth of domestic action, Ferdinand also sat out England's friendly with Brazil.

However his manager, Sir Alex Ferguson, now feels the moment is right to bring the defender back into action.

"This is the time to bring him back," said the United manager. "We have gone through the whole situation with him in terms of enough training and endurance work. It is a big boost because the defence has been the weakest part of our game this season.

"At various times we have lost Ferdinand, Nemanja Vidic, Edwin van der Sar, John O'Shea. It has been a rough time, so to get them back can only be good for us."

O'Shea was yesterday ruled out for the rest of the season while Ferguson confirmed today that Vidic was still a fortnight away from recovering from a calf complaint. That would at least put him in contention to face Milan in the last 16 of the Champions League.

United are one point behind Chelsea and Arsenal at the top of the league, having played one more game than Carlo Ancelotti's side.

According to the Butterfly Effect, small, seemingly insignificant incidents can come to have a vast, unforeseen outcome; the flap of wings that ultimately causes a tornado.

Football now has its own parochial example. Gary Neville makes some sensible comments in a Maltese newspaper, The Times, and, before you know it, Manchester police are on riot alert, braced for mayhem at Old Trafford tomorrow night.

Carlos Tévez is in for a Welcome to Hell in the Carling Cup semi-final, second leg. United fans may even suspend their anti-Glazer protests to concentrate on the Argentine defector.

In Tévez’s world, he is the one with right on his side in this escalating feud: the man disrespected. It suits him to paint a picture of a footballer who would have died for United but, cast out, had no choice than to pack up his shooting boots and, like one of Clint Eastwood’s wandering gunslingers, head to the next town.

 

That is one side of the story, but an entirely self-serving one also peddled by Kia Joorabchian, his representative. Self-serving because it deflects from the fact that the move may have been inspired by other motives, such as the pot of gold on the other side of Manchester.

That is not a moral judgment. Tévez would not be the first person to grab a large pay rise and his “owners”, the mysterious rights-holders, would not have been the first sellers to seek the biggest deal. But all this posturing from Tévez and his people about rights and wrongs, about fair treatment, about respect, demands that we also consider some inconvenient facts.

Facts such as United taking a call last June saying that Tévez would not be returning to Old Trafford even though the club, after taking time to weigh all their options, had offered the contracted asking price.

As United confirmed in a formal statement at the time, they had “agreed to pay the option price of £25.5 million and offered Carlos a five-year contract which would have made him one of its highest-paid players.

Disappointingly, however, his advisers informed the club that, despite the success he has enjoyed during one of the club’s most successful periods, he does not wish to continue playing for Manchester United.”

The fact also, as reported in this newspaper, that the fee eventually paid by City was £47 million, an eye-boggling figure initially contested by Joorabchian but which has yet to draw a murmur of comment by City. City also ended up forking out a salary of £7 million, which was more than United were willing to countenance.

These are not mere details but entirely central to the story when we consider Tévez’s cocked ears to the United board last week and the yap-yap gestures to Neville.

Because they demolish the idea that Tévez has a basis for his grudge.

They expose that he is not a rebel with a cause. They reveal that he is just a footballer for whom City were willing to pay spectacularly over the odds, making him among the top five most expensive players in the history of the game, in the company of Zinédine Zidane and Kaká. United offered less to keep him — but it was hardly treating the striker like a piece of meat, or showing him disrespect, when they stopped the bidding at £25.5 million.

And so to Neville, who knew, like everyone else at Old Trafford, that Tévez moved for more than £40 million last summer rather than the widely reported £25.5 million. That knowledge set the entire context for his remarks in the Maltese Times, even though he did not go into figures.

Asked a perfectly reasonable question by a reader — “was it a mistake to let Tévez leave United?” — he gave a perfectly reasoned answer. “The manager over the years has made many decisions with regard to players coming and going and he has almost always been proved correct,” he said.

“I can’t disagree with his decision on Tévez. He was a good player for us, but if the financial demands are too big [note no mention of how big], then that’s just the way it goes. Other good players have left this club in the past; it’s not the first time it’s happened.”

In this supposedly incendiary column, he also noted that City were not to be taken lightly, least of all Tévez. “They definitely have quality in forward positions,” it read. “Craig Bellamy has been playing well, as have Martin Petrov and Carlos Tévez, who was excellent against Wolves. City impressed me in that game.” Hardly gobby, hardly gloating. Not exactly taunting, either.

Neville was giving a straight answer to a straight question, as, more than most footballers, he has tried to do throughout his career.

It is a career that is heading towards its twilight and one that will be remembered, certainly by fans of United and England, for its unswerving dedication. Neville is a player who made the very best of himself and his abilities.

A combative nature has also brought its more abrasive moments — and we can add the raised digit of last week to the list — but take it from me, take it from anyone in the game, Neville needs no lectures on class and respect from Joorabchian.

It leaves us heading to Old Trafford tomorrow for fireworks and no doubt another twist in a story that has more complexities than people have allowed for. Will Tévez prove United wrong to have got rid of him (even though they didn’t)? Will his former club have the last laugh (even though they could probably do with another forward, just not one priced the same as Kaká)?

They are judgments that need weighing up with all the information to hand, not some muddled notion that the player was forced anywhere against his will. Victimhood does not sit well with Tévez or his former owners, whose take from his moves exceeded £60 million on an original £14 million investment.

Tévez made his bed at City, complete with the £7 million-a-year cushion. We must assume that he is happy to lie in it, however hostile the reception as he ventures back.

United have agreed terms with Fulham to sign their England Under-21 international defender Chris Smalling.

The 20-year-old Greenwich-born centre-back will join the Reds from the start of the 2010/11 season.

A club spokesperson told ManUtd.com: "Manchester United has agreed terms for the transfer of Chris Smalling from Fulham. Chris has agreed personal terms with the club and will join for the beginning of the 2010/2011 campaign. He will remain at Fulham until the end of the current season."

An England Under-21 international, Smalling has made just nine first-team appearances for Fulham, who signed him from non-league Maidstone 18 months ago.

After shining in the club’s Reserves, Roy Hodgson handed him his senior debut on the final day of the 2008/09 season. His first start came in September 2009 when Fulham travelled to CSKA Sofia in the UEFA Cup, where he played the full 90 minutes in a 1-1 draw. Hodgson said: “If you analysed his performance, he played with a maturity I'm not entitled to expect from a player so young.”

Since Ronaldo left for Madrid Rooney has really stepped up his game and once again came through for the red Devils once again as he scored the game winner against City in the derby

Sky launches 3D channel in pubs

Sky is kicking off the UK's first 3D channel with a live Premier League football match to be broadcast from nine pubs around the UK this weekend.

The match between Arsenal and Manchester United will be viewable in 3D in pubs in London, Manchester, Cardiff, Edinburgh and Dublin.

In April Sky will roll out its 3D channel to hundreds of other pubs.

Later in the year, Sky 3D will be made available to all Sky+HD customers with a range of content on offer.

This will include movies, sport, documentaries and entertainment.

Sky 3D will initially be available as a free add-on for those with Sky+HD boxes.

Viewers need to wear a special pair of glasses to watch the content.

There has been a great deal of hype around the technology since cinemas began showing films in 3D.

Avatar, shot in 3D, has become the highest grossing film of all time.

It is expected that 3D-ready TVs will hit the consumer market later this year.

"People have already embraced 3D cinema and because Sky's 3D service uses the same kind of technology, we're confident there will be demand for sport, movies, concerts and drama in 3D," said Gerry O'Sullivan, SKy's director of strategic product development.

In February, two rugby matches in the Six Nations championship will be filmed in 3D and shown at cinemas around the UK.

The 2010 World Cup will also be filmed in the format.

The BBC was the first to show a 3D sports event, broadcasting a Scotland v England rugby match at the Six Nations championship in 2008.
